Terms of Service

These Terms of Service (these "Terms") constitute a legally binding agreement between you and Muze that governs your access to and use of all Muze-owned and operated websites (including muze.so and any subdomains), mobile applications, desktop applications, APIs, widgets, embedded players, and any other products, features, or services offered by Muze that incorporate or link to these Terms (collectively, the "Services"), as well as any information, text, graphics, photos, audio files, videos, live streams, or other materials or content that is uploaded, downloaded, streamed, displayed, or otherwise made available through the Services (collectively referred to as "Content").

By creating an account, accessing, or using any part of the Services, you represent that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree with any provision of these Terms, you must not access or use the Services.

These Terms are entered into between you and MA B.V., a private limited liability company (besloten vennootschap met beperkte aansprakelijkheid) organized and existing under the laws of the Netherlands, having its registered office at Van Baerlestraat 126-1, 1071 BD Amsterdam, the Netherlands, and registered with the Dutch Chamber of Commerce (Kamer van Koophandel) under registration number 96166649 ("Muze", "we", "us", or "our").

If you are accessing or using the Services on behalf of a company, organization, educational institution, governmental entity, or other legal entity, you represent and warrant that you have the full legal authority to bind such entity to these Terms, and references to "you" and "your" shall refer to both you individually and the entity on whose behalf you are acting.

Special Provisions for Users Located in India: If you are located in or resident of India, these Terms are entered into between you and Stroopwafel Private Limited, a company incorporated under the laws of India with its registered office at 12/1 FE, Lake Shore Homes, Kasavanahalli, Bengaluru 560035, Karnataka, India, Corporate Identity Number U62011KA2025PTC209024, an affiliate of Muze. The Services provided in India are subject to the laws of India where specifically noted (see the Governing Law and Dispute Resolution section below). All other provisions of these Terms apply in full except to the extent expressly modified by this India-specific section.

1.Eligibility and Account Registration

1.1.

You may only use the Services if you are capable of forming a legally binding contract with Muze under applicable law and are not prohibited from doing so by any applicable law, regulation, or sanction. You must be at least fifteen (15) years of age to create an account or use the Services. Individuals under the age of fifteen (15) may only use the Services under the direct supervision of a parent or legal guardian who has agreed to these Terms on their behalf.

1.2.

If you are accepting these Terms or using the Services on behalf of another individual (including a minor) or any entity (such as a company, non-profit organization, or government agency), you represent and warrant that: (i) you are at least eighteen (18) years of age or the age of majority in your jurisdiction (whichever is higher); (ii) you possess the full legal authority to bind such individual or entity to these Terms; (iii) in the case of a minor, you are their parent or legal guardian with authority to provide consent; and (iv) such individual or entity will be fully bound by these Terms. In such cases, "you" and "your" will refer to the individual, minor, or entity as the context requires.

1.3.

You represent and warrant that your use of the Services will not violate any applicable export control laws, sanctions, or other legal restrictions imposed by the Netherlands, the European Union, the United States, India (where applicable), or any other relevant jurisdiction.

2.Privacy and Data Protection

Your privacy is critically important to us. Our separate Privacy Policy, available at https://muze.so/privacy, explains in detail how we collect, use, disclose, transfer, store, and protect your personal information when you interact with the Services. The Privacy Policy is incorporated into these Terms by reference. By using the Services, you acknowledge and expressly consent to the data practices described in the Privacy Policy, including the transfer and processing of your personal data in the Netherlands, other countries within the European Economic Area, the United States, India, and any other countries where Muze, its affiliates, or its service providers operate facilities or maintain servers.

3.Content on the Services

3.1.

You are solely and exclusively responsible for:

a.all activities conducted through your account;
b.any Content you upload, post, stream, share, link to, or otherwise make available via the Services ("Your Content"); and
c.ensuring that Your Content complies fully with these Terms, our Community Rules and Policies, and all applicable local, national, and international laws and regulations, as well as respecting the intellectual property, privacy, publicity, and other rights of third parties.

You should only upload or share Content that you are comfortable making publicly visible, as the default visibility of Content on Muze is public unless you explicitly choose otherwise.

3.2.

Muze does not endorse, support, represent, or guarantee the completeness, truthfulness, accuracy, reliability, or legality of any Content posted by users. All Content is the sole responsibility of the person or entity that originated it. Muze operates as a hosting platform and does not pre-screen all Content, but reserves the absolute right (without obligation) to monitor, review, edit, refuse to display, remove, or disable access to any Content at any time and for any reason in its sole discretion. You understand and agree that by using the Services you may be exposed to Content that is offensive, harmful, inaccurate, misleading, deceptive, mislabeled, or otherwise objectionable. You access and rely on all Content entirely at your own risk.

3.3.

Without limitation, you must not post, transmit, or facilitate Content that:

a.infringes any patent, trademark, trade secret, copyright, or other intellectual property or proprietary right of any party;
b.impersonates any person or entity or falsely states or misrepresents your affiliation with any person or entity;
c.violates any applicable law or regulation (including without limitation laws regarding obscenity, child sexual exploitation material, terrorism, or gambling);
d.is harassing, abusive, threatening, hateful, defamatory, libelous, or invasive of another's privacy or publicity rights;
e.constitutes spam, phishing, or any form of unauthorized advertising or commercial solicitation;
f.contains software viruses or any other malicious code designed to interrupt, destroy, or limit the functionality of any computer software, hardware, or telecommunications equipment;
g.promotes violence, discrimination, or illegal activities; or
h.interferes with or disrupts the Services or servers or networks connected to the Services.
3.4.

If you believe that any Content infringes your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act (DMCA) and applicable EU and national copyright laws by providing our designated Copyright Agent with the information required by law. Notifications may be submitted via our online form at https://help.muze.so/forms/dmca or in writing to:

We respond expeditiously to valid notices of alleged infringement and terminate repeat infringers in appropriate circumstances.

3.5.

You retain all ownership rights you have in Your Content. However, by submitting, posting, uploading, streaming, or displaying Your Content on or through the Services, you grant Muze a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, sub-licensable (through multiple tiers) license to host, store, cache, use, copy, reproduce, modify, adapt, reformat, translate, publish, transmit, publicly display, publicly perform, distribute, syndicate, and create derivative works of Your Content in any media or distribution method (now known or later developed) for the purposes of operating, providing, promoting, analyzing, improving, and developing the Services, including without limitation for training and enhancing machine-learning and artificial-intelligence models.

This license continues even after you stop using the Services with respect to copies or derivatives already created or distributed under the license. You agree that this license includes the right for Muze to make Your Content available to other users of the Services and to third parties with whom Muze has contractual relationships (such as partners, advertisers, and analytics providers).

You represent and warrant that:

a.you own or control all rights in and to Your Content necessary to grant the license above;
b.Your Content does not infringe, misappropriate, or violate any third-party intellectual property, privacy, publicity, or other rights;
c.Your Content complies with all applicable laws and these Terms; and
d.you are solely responsible for obtaining any required licenses (e.g., synchronization, mechanical, or public performance licenses) for any third-party material (such as music or stock imagery) included in Your Content.

You agree to defend, indemnify, and hold harmless Muze and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from any breach of the foregoing representations and warranties.

4.Using the Services

4.1.

You agree to use the Services only for lawful purposes and in accordance with these Terms, our Community Rules and Policies (available at https://help.muze.so/rules-and-policies), and all applicable laws and regulations. You must not use the Services in any manner that could damage, disable, overburden, or impair the Services or interfere with any other party's use of the Services

4.2.

The Services are dynamic and may change over time. Muze reserves the right, at its sole discretion and without prior notice, to modify, suspend, discontinue, or restrict access to any feature, functionality, or portion of the Services (temporarily or permanently), including limiting or removing specific features, imposing usage limits, or reclaiming usernames.

4.3.

In consideration for providing you access to the Services, you agree that Muze and its third-party providers and partners may place advertising on the Services or in connection with the display of Content, including Your Content. You are not entitled to any compensation for such advertising.

4.4.

Muze may access, preserve, and disclose your account information and Content if required to do so by law or if we believe in good faith that such access, preservation, or disclosure is reasonably necessary to: (a) comply with legal process or governmental requests; (b) enforce these Terms; (c) respond to claims that any Content violates the rights of third parties; (d) respond to your customer-service requests; or (e) protect the rights, property, or personal safety of Muze, its users, or the public.

4.5.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. We strongly recommend using a strong, unique password and enabling two-factor authentication. You must notify us immediately at security@muze.so of any unauthorized use of your account or any other breach of security.

4.6.

Subject to your complete and ongoing compliance with these Terms, Muze grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services and any content, software, or features provided as part thereof solely for your personal, non-commercial use (or internal business use if you represent an entity). All rights not expressly granted herein are reserved by Muze and its licensors.

4.7.

You agree not to (and not to attempt or assist others to):

a.access the Services by any means other than through the interfaces officially provided by Muze;
b.circumvent, disable, or otherwise interfere with security-related features or features that enforce limitations on use of the Services;
c.reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any portion of the Services except to the limited extent expressly permitted by applicable law;
d.scrape, crawl, or use automated means (including bots, spiders, or scripts) to collect information or content from the Services without our prior written consent;
e.introduce viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful;
f.attack the Services via a denial-of-service attack or distributed denial-of-service attack;
g.forge headers or otherwise manipulate identifiers in order to disguise the origin of any information transmitted through the Services; or
h.engage in any activity that interferes with or disrupts the Services or the servers and networks connected to the Services.

Violations of system or network security may result in civil or criminal liability.

4.8.

You may terminate these Terms at any time by deactivating your account and ceasing all use of the Services. Muze may suspend or terminate your account or access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms or if providing the Services to you is no longer commercially reasonable. Upon termination, your right to use the Services ceases immediately.

5.Disclaimers and Limitation of Liability

5.1.

THE SERVICES AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, MUZE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS (THE "MUZE ENTITIES") DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, COMPLETENESS, TIMELINESS, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

5.2.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE MUZE ENTITIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES (EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (iii) ANY CONTENT OBTAINED FROM THE SERVICES; OR (iv) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE MUZE ENTITIES EXCEED THE GREATER OF ONE HUNDRED EUROS (€100) OR THE AMOUNT YOU PAID MUZE, IF ANY, IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you to the extent prohibited by law.

5.3.

You agree to defend, indemnify, and hold harmless the Muze Entities from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (i) your access to or use of the Services; (ii) Your Content; (iii) your violation of these Terms; or (iv) your violation of any third-party right, including any intellectual property or privacy right.

6.General Provisions

6.1.

We may revise these Terms from time to time. The most current version will always be available at https://muze.so/termsofservice. If we make material changes, we will provide notice through the Services or by other means. Changes will become effective no sooner than fourteen (14) days after posting (except changes addressing new functions or made for legal reasons, which may be effective immediately). Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.

6.2.

These Terms and any dispute or claim arising out of or in connection with them or the Services shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. You irrevocably agree that the courts of Amsterdam, the Netherlands shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or the Services, except that Muze may seek injunctive or other equitable relief in any jurisdiction to protect its intellectual property or confidential information.

For users located in India, disputes shall be governed by Indian law and subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka.

6.3.

These Terms, together with the Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and Muze regarding the Services. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

6.4.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
